TERMS & CONDITIONS FOR SUBMITTING PODCASTS

1. INTRODUCTION
Platocast is incorporated under the provisions of the Companies Act, 1956 having its registered office at Mumbai, India, (“Platocast”, “we”, “us”) and is the owner of a digital media
platform called “Platocast” which features written content including but not limited to articles,
opinions, blogs and original podcasts produced by the us available on the Platocast website and
associated web and mobile application (collectively referred to as the “Services”).
The following Terms & Conditions for Submitting Podcasts (“Podcast Terms”) constitute a final and binding agreement between you, an owner, content provider, content distributor and/or producer (the “Producer”/ “you”). The Podcast Terms explains the rights you give to us for distribution and use of any and all web audio content, including without limitation podcasts, the metadata, photos, pictures graphics, artwork, texts, marketing materials, audio-visual content and related materials – that you
submit to Platocast directly or via a third party for the use and distribution by Platocast on the
Services (collectively referred to as “Content”).
If you are acting on behalf of or representing a corporation or organization, you agree to the Podcast
Terms for that organization and confirm that you have authority to bind that corporation or
organization. In that case, “you” and “your” will refer to that corporation or organization.
We encourage you to read and understand the Platocast's Terms and Conditions of Use (the “Terms
and Conditions of Use”) and Platocast’s Privacy Policy (“Privacy Policy”) which are required to be
read in consonance with the Podcast Terms(collectively “Agreements”).
If you are interested to share the Content for distribution by Platocast on the Services, it is imperative
that you agree to the Agreements. In the event of any conflict between a provision in the Terms and
Conditions of Use and the Podcast Terms, the provisions of this Podcast Terms will govern to the
extent of said conflict. You acknowledge that you have read and understood the Agreements (have

had the opportunity to review these Agreements, accept these Agreements, and agree to be bound by
them.
If you do not accept or do not agree to (or cannot comply with) any of the terms and conditions set
out in the Agreements, please refrain from submitting or uploading any Content to any of the
Services. Submission of any Content (in any form or manner) on the Service and/or your continued
use of the Services, shall be deemed to be an express approval of the Agreements by you and
therefore, you will be legally bound by the terms of the Agreement.
From time to time, we may amend the Agreements at any time in our sole discretion. We shall
endeavor, to the best of our capability, to notify you of major or material updates to the Podcast
Terms by placing a notice on the Services, by sending you an email, and/or any other means available
in the future. If you don’t agree with the change to the Agreements, you have no obligation to
continue to upload and submit Content to the Service and you should remove any Content you
uploaded and discontinue your use of the Services. If you continue to use the Services after a change
to the Agreements will mean that you agree and accept the changes.
2. TERMS AND CONDITIONS OF USE
2.1. Once you have read and accepted the Agreements, you will be required to make an account or sign
into your existing account ("Account"). Once your account is established, you may submit the
Content on https://studio.platocast.com/publisher/, after which the Content will be evaluated by us, according to our quality
standards. The acceptance and/or rejection of the Content shall be made at our sole discretion and
you do not have any rights to question the same. The process of evaluation may take a period 10
(ten) – 15 (fifteen) days or even longer. If we accept your submission, we will inform you of the
same via email. Please read our technical guidelines for submitting podcasts (“Technical
Guidelines”). Any and all Content shall be delivered by you or an authorized third party to Platocast
(at no cost to Platocast) and shall be delivered in accordance with delivery specifications specified in
the Technical Guidelines. Please note, non-adherence to the same may be subjected to immediate
rejection.
2.2. The Content which is submitted by you and approved by us, we shall perform the necessary
processing of the Content submitted by you and shall prepare to launch the same on our Service.
Platocast shall be responsible for paying all cost associated with technology maintenance,
enhancements to server storage, hosting, serving and processing.
2.3. As and when required by Platocast, you agree to provide promotional consideration to us at a time
subsequent to the publication of Submitted Content on the Service, in the manner specified by
Platocast. Examples of such promotional consideration include but are not limited to on-air mentions
of Platocast, social media promotion, use of the Service player widgets and links from your website to
the Platocast Service.
2.4. Platocast shall have the right to market, advertise and promote the Content via any of Platocast’s
marketing/advertising channels used from time to time, such as but not limited to television, radio,
print and the internet, in the customary manner employed by Platocast for comparable content.
2.5. In the event you want a part or the entire Content to be removed/ deleted/ amended/ replaced or made
inaccessible, because such part of the Content contains errors or needs to be updated or it is or could

be subjected to third party claim for any other reasonable business purpose, then you can inform us of
the same by writing to us on support@platocast.com stating all the necessary details. We shall, on
receiving your email, evaluate the matter and take a decision accordingly on the same, which shall be
at our sole discretion. In the event we decide to remove the Content as per your direction in writing,
we shall inform you of the same. Please note any additional expenditure pertaining to editing of the
Content for its reupload/submission shall be at your sole cost and we shall not be liable to pay any
amount towards it, whatsoever.

Services may use YouTube’s Application Interface Program (API)
By using our Services, you are agreeing to be bound by the YouTube Terms of Service. You can review YouTube’s Terms of Service here YouTube’s Terms of Service.

Users can revoke that API Client’s access to their data via the Google security settings page at https://security.google.com/settings/security/permissions

3. DISTRIBUTION OF CONTENT
3.1. At the time of submission of the Content, you hereby grant Platocast a non-exclusive, world-wide
license to:
a. Ingest, encode, transcode, edit, format, test, host, store, reproduce, display, transmit,
communicate, exhibit, perform, distribute and/or otherwise make publicly available the Submitted
Content, in whole or in part, as part of the Service;
b. Create, distribute and make publicly available excerpts of the Content for promotional and/or
advertising purposes. You acknowledge that the Service may include advertisements and that
Platocast has the right to present advertisements in connection with the Content.;
c. Use the Content for internal research and development purposes Create and use derivative works
there from in order to promote the content on the Service;
d. Unless otherwise agreed between the parties, the right to host, reproduce, digitize and encode the
Submitted Content in all necessary formats, now known or hereafter devised, on Stitcher servers
3.2. Any and all Content submitted by you to us, including without limitation audio recordings,
information, meta data, ideas, images, stories, characters, concepts, formats, themes, master
recordings, musical compositions, comments, names, likeness, voice, suggestions or other materials
shall be subject to the provisions of the Agreements.
3.3. We shall endeavor to provide analytic services in relation to the Content distributed on our Service
and you shall ensure that such information provided to solely for purposes of internal business
analytics and making data available to advertisers solely, subject to the provisions of the
Agreements.
3.4. Platocast shall have no obligation to post, exhibit, distribute or otherwise make use of the Content
submitted or any part thereof, and may delete any Content at any time, irrespective of whether it was
earlier approved by us. In the event, we remove your Content from the Service, we shall endeavor to
inform you of the same.
4. REPRESENTATION AND WARRANTIES
4.1. The Producer hereby represents and warrants the following:
e. All information provided by you on the Service and as required by us is true, accurate, current
and complete. You further agree to maintain and update your information provided by you, as
required to keep it accurate, current, and complete;
f. You are the sole owner of the Content, thereby you control all rights in the Content and have full
authority to grant rights to us, as stated in the Podcast Terms.
g. Any and all rights and related payments due to all persons or any other third parties involved in
any capacity including without limitation the production and distribution of the Content and all

payments that may be required under collective agreements applicable to such persons, shall be
borne solely by you.
h. The Content is free from third party claims and you agree and confirm that we do not require any
third party consents, licenses or permissions for the purpose of using and exploiting the Content,
and no monies, under any circumstances whatsoever, shall be payable by us to any third parties in
connection with the use and exploitation of the Content in its entirety or part thereof, including
without limitation in respect of musical works and sound recordings embodied therein.
i. You shall ensure that you shall not include any advertisement in the Content submitted to us, that
mentions or promote any of Platocast's competitors. In the event we find an advertisement is
included in the Content submitted by you, which mentions or in any way promotes our
competitors, we shall be entitled to require, at any time and on reasonable grounds, the take down
or replacement of any advertising included in the Content.
j. We shall have no obligation to make any payments to any third parties for exercising the rights
granted by you in accordance with the provisions of the Agreements.
k. The Content (i) is not unlawful, obscene, fraudulent, indecent; does not defame, abuse, harass, or
threaten others; and is not hateful or racially, ethnically or otherwise objectionable, (ii) does not
contain any software viruses, Trojan horses, worms, bombs, or any other computer code, files or
programs designed to interrupt, destroy or limit the functionality of any computer software or
hardware or telecommunications equipment or that may damage, detrimentally interfere with,
surreptitiously intercept, or expropriate any system, data, or personal information, (iii) does not
and will not infringe or violate any right whatsoever, including, without limitation, any
contractual rights, personal rights (e.g., defamation, privacy, false light, moral right, etc.) or any
property rights (e.g., copyright, patent, trademark, trade secret etc.) of any person or entity, (iv)
does not violate any applicable local, state, national or international law and (v) is not, and will
not be, subject of any threatened or pending litigation, claim or dispute. You agree and confirm
that you have not done anything which has impaired and will not do anything to impair the rights
granted to us in any way.
l. You shall continually maintain the production quality of the Content intended to be distributed
through the Service as per the instructions of Platocast. Production quality includes but is not
limited to audio quality and, if applicable, update frequency.
m. You shall not engage in any unlawful, unfair, misleading, fraudulent, improper, or dishonest acts
or business practices relating to the Content or use of the Services.
4.2. Platocast hereby represents and warrants the following:
a. We have the full right, power and authority to execute and perform this Podcast Terms;
b. The execution and performance of this Podcast Terms shall not constitute a breach of any
agreement to which Platocast is a party or by which it is bound or otherwise violate the rights of
any third party.
c. We shall make reasonable efforts to keep the Service operational. We however, reserve the right,
periodically and at any time, to modify or discontinue, temporarily or permanently, functions and
features of the Services, with or without notice, all without liability to you, except where
prohibited by law, for any interruption, modification, or discontinuation of the Services or any
function or feature thereof. This section will be enforced to the extent permissible by applicable
law.
5. INTELLECTUAL PROPERTY RIGHTS

5.1. Nothing in this Podcast Terms shall be construed to grant Platocast any title or ownership interest in
the Content, your trademarks, logos, trade names, identifying slogans or similar intellectual property.
For the avoidance of any doubt, as between you and Platocast, all copyright and other intellectual
property rights in and to the Content shall be owned exclusively by you.
5.2. You agree and confirm that you shall not be entitled to any monetary compensation in exchange for
Producer's grant of rights as stated in these Terms of Use or for Platocast's subsequent exercise of
those rights.
5.3. All copyright and other intellectual property rights in and to the Service, including without limitation
Platocast’s trademarks, logos, identifying slogans (“Intellectual Property”) shall be owned
exclusively by Platocast. For avoidance of doubt, nothing in this Podcast Terms shall be construed to
convey, and you by virtue of this Podcast Terms shall not acquire, any ownership interest in any
Intellectual Property. You shall not contest, or assist others in contesting, the validity, enforceability,
ownership or title of any Intellectual Property.
6. CONFIDENTIALITY
Neither party may disclose to any third-party any Confidential Information, without the other party's
prior written consent. Notwithstanding the foregoing, each party may disclose the Confidential
Information (i) to the extent required by a court of competent jurisdiction or other governmental
authority or otherwise as required by law; provided, however that the party who is required to
disclose the Confidential Information of the other party shall use commercially reasonable efforts to
minimize such disclosure and shall provide written notice (email will suffice) of such disclosure and
consult with and assist the other party in obtaining a protective order prior to such disclosure, or (ii)
on a "need-to-know" basis under an obligation of confidentiality to its concerned employees,
consultants, legal counsel, accountants, banks and other financing sources and their advisors.
7. LIMITATION OF LIABILITIES
UNDER NO CIRCUMSTANCES WILL PLATOCAST, ITS OFFICERS, SHAREHOLDERS,
EMPLOYEES, AGENTS, DIRECTORS, SUBSIDIARIES, AFFILIATES, SUCCESSORS,
ASSIGNS, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES WHATSOEVER
ARISING OUT OF OR RELATING IN ANY WAY TO (I) THE SERVICE, INCLUDING ANY
CHANGES PLATOCAST MAY MAKE TO THE SERVICE, (II) YOUR USE OR THE
INABILITY TO USE THE SERVICE, (III) ANY ERRORS, MISTAKES, INACCURACIES OR
OMISSIONS IN THE SERVICE OR ANY CONTENT ON THE SERVICE, (IV) ANY BUGS,
VIRUSES OR TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR
VIA THE SERVICES BY ANY THIRD PARTY, (V) ANY UNAUTHORIZED ACCESS TO OR
ALTERATION OF YOUR DATA, OR (VI) ANY ACTION TAKEN AGAINST YOU BY A THIRD
PARTY WITH RESPECT TO ANY ALLEGED INFRINGEMENT OF SUCH PARTIES THIRD
PARTY’S RIGHTS RELATING TO THE CONTENT OR YOUR USE OF THE SERVICE,
WHETHER BASED ON CONTRACT, WARRANTY, TORT, OR ANY OTHER LEGAL
THEORY, AND WHETHER OR NOT PLATOCAST HAD BEEN ADVISED ABOUT THE
POSSIBILITY OF SUCH DAMAGES OR IF SUCH DAMAGES COULD HAVE BEEN
FORESEEN OR PREVENTED; OR (3) AGGREGATE LIABILITY FOR ALL CLAIMS
RELATING TO THE SERVICES AND OR ANY CONTENT ON THE SERVICES BE MORE

THAN THE AMOUNTS PAID BY YOU TO PLATOCAST DURING THE PRIOR TWELVE
MONTHS IN QUESTION, TO THE EXTENT PERMISSIBLE BY APPLICABLE LAW
Nothing in the Agreements removes or limits Platocast’s liability for fraud, fraudulent
misrepresentation, death or personal injury caused by its negligence, and, if required by law, gross
negligence. Some aspects of this section may not apply in some jurisdictions if prohibited by law.
8. INDEMNITY
By using the Services, you agree, to the extent permitted by law, to indemnify and hold Platocast, its
directors, officers, employees, affiliates, agents, contractors, and licensors harmless with respect to
any claims arising out of your breach of these terms of service, any representations or warranties
made by you herein, or your other improper, unauthorized or unlawful use of the Services.
9. TERMINATION
9.1. Platocast may, in its sole discretion and without notice, terminate Producer's use of the Service for
any reason, including, without limitation, if Platocast believes that Producer has:
a. breached the Agreements or otherwise acted inappropriately;
b. Infringed the intellectual property right of a third party;
c. Provided any information that Platocast is unable to verify or authenticate;
d. Uploaded or transmitted unauthorized Content to the Service; and/or
e. Producer may at any time terminate use of the Service and request that any or all Content be
removed from distribution through the Service.
10. GENERAL TERMS
10.1. Relationship of the Parties:
You hereby acknowledge that you and Platocast, as Parties to this Podcast Terms are independent of
each other. Neither Party shall have any right, power or authority to enter into any agreement or
memorandum of understanding for or on behalf of, or incur any obligation or liability of, or to
otherwise bind, the other Party and does not undertake to perform any of Your regulatory or statutory
obligations. This Podcast Terms shall not be interpreted or construed to create an association, joint
venture, agency, collaboration or partnership between the Parties or to impose any liability
attributable to such relationship upon either Party.
10.2. Similar Agreements:
Nothing will be deemed to limit or restrict either party from entering into similar agreements with any
other person or from offering services similar to the other Party.
10.3. No Third-Party Beneficiaries.
Except as may be expressly set forth herein, nothing in this Podcast Terms shall be deemed or
interpreted to create any third-party beneficiaries, or confer any rights in any third parties.
10.4. Assignments:

This Podcast Terms will be binding upon and inure to the benefit of the parties, their respective
personal representatives, and permitted successors and assigns. You may not assign or transfer this
Podcast Terms, or any rights or licenses granted hereunder, in whole or in part, to any third party
without Platocast’s prior written consent. Platocast reserves the right, at its sole discretion, to assign
or transfer any of its rights and delegate any of its duties hereunder, in whole or in part, to any
affiliate or any successor to substantially all of its assets (whether by acquisition, merger, sale of
assets or other type of transfer).
10.5. Use of Third Parties by Platocast:
Platocast shall be permitted to use the services of a third-party contractor to assist it in hosting and
transmitting Content as permitted hereunder, in each instance solely for the benefit of Platocast and
on Platocast’s behalf, via an API or otherwise. Platocast shall also be permitted to offer the Service,
and co-branded and white-labeled versions thereof, through partners.
10.6. Governing Law and Jurisdiction. Each party is responsible for complying with laws and regulations
applicable to its business and Content. This Podcast Terms shall be governed by and construed in
accordance with the laws of the Republic of India, without regard to its conflicts of law provision
thereof. Exclusive jurisdiction and venue for actions arising out of this Podcast Terms shall be in the
courts of Mumbai and the Parties hereby consent to the jurisdiction of such courts with respect to any
such action.
10.7. Severability.
If any provision of this Podcast Terms or any portion thereof if held to be invalid and unenforceable,
then the remainder of this Podcast Terms shall nevertheless remain in full force and effect.
10.8. Waiver:
Waiver by one Party hereto of breach of any provision of this Podcast Terms by the other shall not
operate or to be construed as a continuing waiver. The failure of Platocast at any time or times to
require full performance of any provision hereof will in no manner affect the right of Platocast a later
time to enforce the same.
10.9. Force Majeure.
Neither party will be in violation of this Agreement if a failure to perform is due to an event beyond
either Party’s control (a “Force Majeure Event”), such as significant failure of a part of the power
grid, sabotage, denial of service attack, significant failure of the internet, natural disaster, war, riot,
insurrection, epidemic, strikes or other organized labor action, terrorism, or other events of a
magnitude or type for which precautions are not generally taken in the industry, provided that if a
Force Majeure Event continues beyond 30 days, the performing Party may terminate this Agreement.
